Important Legal Notice
PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE SINIOO TRUST-VAULT PROTOCOL PLATFORM (THE "PLATFORM"), YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.
This Agreement is a binding contract between you (an individual or an entity) and Sinioo. For legal purposes, the Platform is operated by the registered entity Sinioo Ltd., incorporated in The Gambia. References to "Sinioo," "we," "us," and "our" mean Sinioo.
- Users must be at least 18 years old and have legal capacity to enter into a binding contract.
- Sinioo issues verification credentials based on evidence-backed checks; credentials do not constitute endorsements or guarantees.
- Users are responsible for the accuracy of all information they provide and for keeping account credentials secure.
- The Platform is provided "AS IS" without warranties except as required by applicable law, and Sinioo's liability is limited as set forth in this Agreement.
- Disputes are governed by Gambian law and subject to the exclusive jurisdiction of Gambian courts, except where local mandatory law requires otherwise.
- Verification records published on the public ledger are permanent and may not be removed.
If you do not accept these Terms, your only remedy is to stop using the Platform immediately.
1. Interpretation & Definitions
The following definitions apply throughout this Agreement:
1.1 Definitions
- "Platform": The Sinioo Trust-Vault Protocol website, APIs, software, applications, and services, whether accessed via web, mobile, or other device.
- "User," "You," "Your": Any natural person or legal entity that accesses or uses the Platform, including organizations applying for verification.
- "Account": Your registered user profile on the Platform, including all associated data and credentials.
- "Credentials" / "Verification Credential": A digital credential, certificate, badge, or token issued by Sinioo indicating that an organization has passed verification standards at a point in time.
- "Verification Standards": The criteria, requirements, and evidence standards published by Sinioo for obtaining and maintaining a credential.
- "Technical Health Metrics": Performance indicators (e.g., PageSpeed scores, Largest Contentful Paint, First Input Delay, Cumulative Layout Shift, Time to First Byte) derived from third-party measurement services.
- "Public Verification Record": Information published as part of the public verification ledger, including but not limited to organization name, credential identifier, status, timestamps, and verification URL.
- "Brand Guidelines": The published guidelines for use of the Sinioo name, logos, trust badges, and trademarks, available at [to be specified].
- "Intellectual Property Rights": All copyrights, trademarks, patents, trade secrets, and other proprietary rights, whether registered or unregistered.
1.2 Construction
Headings are for convenience only and do not affect interpretation. Singular includes plural and vice versa. "Including" means "including but not limited to." References to "Sections" refer to numbered sections of this Agreement. "Writing" or "written" includes electronic communications (email, in-platform notices).
2. Acceptance & Formation of Contract
By creating an Account, submitting a verification application, or otherwise accessing or using the Platform, you expressly acknowledge that you have read, understood, and agree to be bound by this Agreement. This Agreement constitutes a legally enforceable contract between you and Sinioo.
If you are accessing or using the Platform on behalf of an entity (company, organization, government agency), you represent and warrant that you have the authority to bind that entity to this Agreement. In such cases, "you" and "your" refer to both you individually and the entity on whose behalf you act.
Minimum Age Requirement: You must be at least eighteen (18) years of age to use the Platform. By using the Platform, you confirm that you are of legal age to form a binding contract and have the legal capacity to accept these Terms. If you are under 18, you may not use the Platform.
3. The Platform & Services
Sinioo operates the Trust-Vault Protocol, a verification and credentialing platform that provides the following core services:
- Verification Assessment: Evaluation of submitted evidence against published Verification Standards to determine organizational eligibility for a credential.
- Credential Issuance: Upon successful verification, issuance of a digital credential that may be displayed by the verified organization.
- Technical Monitoring: Continuous or periodic retrieval and display of Technical Health Metrics from third-party performance APIs.
- Public Verification Search: A searchable public ledger enabling anyone to verify the authenticity of issued credentials via credential ID, organization name, or founder name.
3.1 Nature of Service — Not an Endorsement
CRITICAL: THE ISSUANCE OF A VERIFICATION CREDENTIAL BY SINIOO IS NOT AN ENDORSEMENT, WARRANTY, OR GUARANTEE OF ANY KIND REGARDING THE ORGANIZATION'S PRODUCTS, SERVICES, FINANCIAL STABILITY, BUSINESS PRACTICES, OR ONGOING PERFORMANCE. A credential only indicates that the organization met Sinioo's verification criteria at the time of assessment. Verification does not certify the quality, safety, legality, or efficacy of any product or service offered by the verified organization.
3.2 Discretionary Service
Verification is provided at Sinioo's sole and absolute discretion. Sinioo reserves the right to accept or reject any application for verification, to suspend or revoke any issued credential, and to modify or update Verification Standards at any time, in its reasonable discretion, without prior notice. Decisions regarding verification eligibility, credential issuance, suspension, or revocation are final and binding, subject only to the appeal process described in Section 5.4.
3.3 Beta Status & Service Evolution
The Platform is currently in beta. As a beta service, features may change, be temporarily unavailable, or be discontinued as we iterate. While we strive for stability, we make no guarantees about uninterrupted service or the permanence of specific features. We may add, modify, or discontinue features at our discretion.
4. User Accounts & Eligibility
To access certain features of the Platform, you must register for an Account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
4.1 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your Account credentials (username, password, authentication tokens)
- All activities that occur under your Account, whether authorized by you or not
- Implementing appropriate security measures on your device to prevent unauthorized access
- Notifying Sinioo immediately of any unauthorized access or suspected security breach
Prohibited Account Sharing: You may not share your Account credentials with any third party. Each Account is for the exclusive use of a single individual or entity as registered.
4.2 Minimum Age & Legal Capacity
You must be at least eighteen (18) years of age to create an Account. By creating an Account, you represent and warrant that you have legal capacity to enter into this Agreement.
4.3 Accuracy of Information
You represent and warrant that all information provided to Sinioo is true, accurate, complete, and current. Provision of false, misleading, or incomplete information may result in immediate suspension or termination of your Account, rejection of verification applications, revocation of issued credentials, and potential legal action.
4.4 Account Suspension & Termination
Sinioo may suspend or terminate your Account or access to the Platform at any time, without prior notice or liability, in our sole discretion, including but not limited to the grounds set forth in Section 9 (Acceptable Use).
Upon termination, your right to access and use the Platform ceases immediately. All provisions that should survive termination (including disclaimers, limitations of liability, indemnification, governing law, and jurisdiction) remain in full force and effect.
5. Verification & Credentials
5.1 Application Process
To apply for verification, you must submit an application through the Platform, providing all required documentation, evidence, and information as specified by Sinioo. Submission of an application constitutes your acknowledgment that:
- All submitted information and documents are true, accurate, and complete to the best of your knowledge
- You have the legal right to submit the provided documentation (e.g., business licenses, identity documents)
- You authorize Sinioo to verify the authenticity of submitted information through third-party sources
- You consent to the processing of your personal data as described in the Privacy Policy
5.2 Evaluation & Discretion
Verification applications are evaluated at Sinioo's sole discretion. Meeting published Verification Standards does not guarantee credential issuance. Sinioo reserves the right to:
- Request additional documentation or clarification
- Conduct supplementary verification procedures
- Refuse any application for any reason, including but not limited to incomplete submissions, failure to meet standards, or risk considerations
5.3 Credential Validity & Revocation
A credential remains valid only as long as the verified organization maintains compliance with the Verification Standards in effect at the time of issuance and any subsequently published standards. Sinioo may, at its sole discretion, suspend or revoke a credential if:
- The organization no longer meets Verification Standards
- The organization violates these Terms or the Privacy Policy
- Sinioo reasonably believes the credential was issued based on falsified or misleading information
- The organization engages in fraudulent, illegal, or unethical business practices
- Technical health metrics fall below required thresholds (if applicable)
- Required fees are not paid on time
Revocation takes effect immediately upon notice to the organization via email. The credential status will be updated in the public verification ledger to reflect revocation.
5.4 Appeal Process
If your verification application is rejected or your credential is revoked, you may appeal the decision by submitting a written request to hello@sinioo.com within thirty (30) days of the decision. Appeals must include:
- A clear statement of which decision is being appealed
- Reasons why the decision was erroneous
- Any supporting evidence or documentation
Sinioo will review the appeal and respond within a reasonable timeframe. The appeal decision is final and binding.
6. Sinioo Brand & Trademark Use
Verified organizations are granted a limited, non-exclusive, non-transferable, revocable license to display the Sinioo trust badge and verification credential ID in connection with the organization's verified status, subject to strict compliance with the Brand Guidelines. The Sinioo name, logo, Trust-Vault Protocol, and all related trademarks are the exclusive property of Sinioo Ltd.
License Conditions: You may display the trust badge and credential ID on your website, marketing materials, and business communications only while your credential remains active and unrevoked. Display must be accurate, clear, and not misleading. You must follow the Brand Guidelines regarding size, placement, color, and usage.
Prohibited Uses: You may not:
- Modify, distort, recolor, or alter the trust badge in any way
- Use the Sinioo name or logo in a manner that suggests endorsement of products/services beyond the scope of verification
- Use the trust badge on products or services not covered by the verification
- Transfer, sell, or sublicense the right to use the Sinioo trademarks
- Register domain names, social media accounts, or business names incorporating "Sinioo" or confusingly similar marks
- Use the trademarks in any way that could damage Sinioo's reputation or dilute the brand
Sinioo reserves the right to monitor use of its trademarks and enforce its intellectual property rights to the fullest extent of the law. Unauthorized use may result in immediate revocation of your credential, account termination, and legal action for trademark infringement, damages, and injunctive relief.
7. Technical Data & Performance Metrics Disclaimer
Technical Health Metrics displayed on the Platform are sourced from third-party services, including but not limited to Google PageSpeed Insights, Lighthouse, and WebPageTest. These metrics are generated independently by these third parties and are provided for informational purposes only.
NO GUARANTEES: SINIOO DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, CURRENCY, OR RELIABILITY OF TECHNICAL METRICS. PERFORMANCE SCORES MAY VARY BETWEEN CHECKS, ACROSS DIFFERENT DEVICES, AND OVER TIME DUE TO NETWORK CONDITIONS, SERVER LOAD, AND OTHER FACTORS BEYOND SINIOO'S CONTROL. SINIOO IS NOT RESPONSIBLE FOR ANY ERRORS, OMISSIONS, OR INACCURACIES IN TECHNICAL DATA.
The Platform does not guarantee:
- Continuous, uninterrupted, or error-free operation
- Real-time accuracy of displayed metrics or verification status
- Completeness or currentness of verification results
- Timely updates to Technical Health Metrics
You acknowledge that technical performance is inherently variable and that a single snapshot does not represent ongoing performance guarantees.
8. Acceptable Use Policy
You may use the Platform only for lawful purposes and in accordance with this Agreement. You are solely responsible for all activities conducted under your Account.
The following activities are strictly prohibited:
- Violation of Law: Using the Platform to violate any applicable local, state, national, or international law or regulation.
- Unauthorized Access: Attempting to gain unauthorized access to the Platform, other user accounts, computer systems, or networks connected to the Platform, through hacking, password mining, or any other means.
- Service Disruption: Interfering with, disrupting, or imposing an excessive burden on the Platform, servers, networks, or other users' enjoyment of the Platform, including through denial-of-service (DoS) attacks, traffic flooding, or automated scripts.
- Reverse Engineering: Reverse-engineering, decompiling, disassembling, or otherwise attempting to derive the source code, algorithms, or underlying ideas of the Platform, except to the extent expressly permitted by law.
- False Information: Submitting false, misleading, fraudulent, or incomplete information in verification applications, account registration, or any communications with Sinioo.
- Brand Misuse: Misusing the Sinioo trust badge, logos, or trademarks, or falsely claiming verification status when not verified or after credential revocation.
- Malicious Code: Uploading, transmitting, or introducing viruses, worms, trojans, spyware, malware, or any other malicious code.
- Harassment & Abuse: Harassing, threatening, intimidating, or harming Sinioo employees, agents, or other users; using offensive language; or engaging in any conduct that restricts or inhibits anyone's use of the Platform.
- Unauthorized Automation: Using bots, scrapers, spiders, crawlers, or other automated tools to access the Platform, collect data, or interact with other users, except for search engines following robots.txt or with prior written permission from Sinioo.
- Circumvention: Attempting to circumvent, disable, or interfere with any security measures, access controls, or technological protection measures of the Platform.
- Content Restrictions: Uploading or transmitting content that is defamatory, obscene, pornographic, harassing, discriminatory, or infringes on third-party rights (intellectual property, privacy, publicity).
- Data Scraping: Extracting, copying, or storing substantial portions of the Platform's database (including verification records) without prior written authorization.
- Impersonation: Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with a person or entity.
9. Intellectual Property Rights
9.1 Sinioo Intellectual Property
The Platform and all original content, features, and functionality are owned by Sinioo Ltd. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. This includes, without limitation:
- The Sinioo name, logo, and Trust-Vault Protocol branding
- The Platform's software, code, algorithms, and architecture
- The design, layout, and look-and-feel of the Platform
- All textual content, graphics, images, videos, and multimedia
- Verification criteria, methodologies, and internal processes (as trade secrets)
Except as expressly permitted in this Agreement, you may not copy, modify, distribute, sell, lease, or otherwise exploit any of Sinioo's intellectual property for any purpose without our prior written consent.
9.2 Limited License to Verified Organizations
Upon successful verification, Sinioo grants you a limited, non-exclusive, non-transferable, revocable license to display the Sinioo trust badge and your verification credential ID solely in connection with your verified status, subject to the Brand Guidelines. This license terminates immediately upon credential revocation, suspension, or account termination.
9.3 User-Generated Content & Submissions
By submitting verification applications, documents, or any content to the Platform, you grant Sinioo a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, copy, modify, adapt, publish, process, and display such content solely for the purpose of providing the verification service, including:
- Evaluating your verification application
- Publishing public verification records (as required by the service)
- Internal compliance, audit, and record-keeping purposes
- As required by law or legal process
You retain ownership of the content you submit; this license is solely for Sinioo to operate the Platform. However, public verification records become part of the immutable public ledger and cannot be deleted.
9.4 Feedback & Suggestions
Any feedback, suggestions, or ideas you submit to Sinioo regarding the Platform ("Feedback") become the exclusive property of Sinioo. You hereby assign all right, title, and interest in such Feedback to Sinioo and agree to cooperate with Sinioo in perfecting such rights. Sinioo may use Feedback for any purpose without obligation to you.
10. Disclaimers & No Warranties
THE PLATFORM AND ALL CONTENT, SERVICES, AND FEATURES THEREOF ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SINIOO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:
- Implied Warranties Disclaimed: ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, OR THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
- No Guarantee of Verification: SINIOO DOES NOT WARRANT THAT YOU WILL ACHIEVE VERIFICATION, THAT VERIFICATION WILL BE GRANTED TO ANY PARTICULAR APPLICANT, OR THAT VERIFICATION WILL BE RETAINED INDEFINITELY.
- No Guarantee of Platform Performance: SINIOO DOES NOT WARRANT UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR VIRUS-FREE OPERATION OF THE PLATFORM. TECHNICAL DISRUPTIONS, OUTAGES, AND MAINTENANCE WINDOWS OCCUR AND MAY AFFECT ACCESS TO THE PLATFORM.
- Third-Party Services: SINIOO IS NOT RESPONSIBLE FOR THE AVAILABILITY, ACCURACY, OR RELIABILITY OF THIRD-PARTY SERVICES (E.G., GOOGLE PAGESPEED, FIREBASE, STRIPE) FROM WHICH TECHNICAL DATA IS RETRIEVED.
- No Endorsement: VERIFICATION DOES NOT CONSTITUTE ENDORSEMENT, SPONSORSHIP, OR APPROVAL OF ANY ORGANIZATION, PRODUCT, OR SERVICE. SINIOO IS NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF VERIFIED ORGANIZATIONS.
SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF CERTAIN WARRANTIES, SO THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW. IN SUCH JURISDICTIONS, THE DISCLAIMERS ARE LIMITED TO THE MAXIMUM EXTENT PERMISSIBLE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW IN YOUR JURISDICTION, SINIOO LTD. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES
- COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES
- DAMAGES ARISING FROM SERVICE INTERRUPTIONS, DATA LOSS, OR SYSTEM FAILURES
- DAMAGES RESULTING FROM ERRORS, INACCURACIES, OR OMISSIONS IN VERIFICATION RESULTS OR TECHNICAL METRICS
- DAMAGES ARISING FROM YOUR RELIANCE ON THE PLATFORM OR CONTENT PUBLISHED THEREON
- DAMAGES FROM SUSPENSION, TERMINATION, OR REVOCATION OF YOUR ACCOUNT OR CREDENTIAL
11.1 Aggregate Liability Cap
SINIOO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE PLATFORM, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF:
- THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO SINIOO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR
- ONE HUNDRED UNITED STATES DOLLARS (USD $100.00)
THIS LIMITATION OF LIABILITY IS A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND SINIOO AND IS INTENDED TO LIMIT POTENTIAL DAMAGES TO SINIOO.
11.2 Exclusions
NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS SINIOO'S LIABILITY FOR:
- DEATH OR PERSONAL INJURY CAUSED BY SINIOO'S NEGLIGENCE
- FRAUD OR FRAUDULENT MISREPRESENTATION BY SINIOO
- WILLFUL MISCONDUCT OR GROSS NEGLIGENCE
- LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE MANDATORY LAW
TO THE EXTENT THAT ANY JURISDICTION LIMITS OR PROHIBITS THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATIONS MAY NOT APPLY IN FULL.
12. Indemnification
You agree to defend, indemnify, and hold harmless Sinioo Ltd., its affiliates, and their respective officers, directors, employees, agents, and service providers (collectively, the "Indemnitees") from and against any and all claims, demands, actions, causes of action, suits, proceedings, investigations, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:
- Your use of the Platform or any content you submit
- Your violation of this Agreement, the Privacy Policy, or any applicable law
- Your infringement or misappropriation of any third-party intellectual property, proprietary, or privacy rights
- Any actual or alleged wrongdoing by you or your organization
- Your reliance on or use of information or services provided through the Platform
- Any dispute between you and another user or third party
- Your organization's business practices, products, or services
Sinioo reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate fully with Sinioo in asserting any available defenses.
13. Termination
13.1 Termination by You
You may terminate your Account and cease use of the Platform at any time by contacting us at hello@sinioo.com or by using any account deletion functionality provided in the Platform settings. Termination of your Account does not affect the permanence of public verification records already published.
13.2 Termination by Sinioo
Sinioo may, in its sole discretion, suspend, restrict, or terminate your access to all or part of the Platform at any time, with or without notice, and for any reason including but not limited to:
- Breach or violation of this Agreement or the Privacy Policy
- Submission of false, misleading, or fraudulent information
- Suspected illegal, fraudulent, or abusive activity
- Misuse of the Sinioo brand or trademarks
- Failure to pay applicable fees
- Operational, technical, or security reasons
- At Sinioo's sole discretion, with or without cause
Upon termination:
- Your right to access and use the Platform immediately ceases
- All licenses granted under this Agreement terminate
- You may no longer display the Sinioo trust badge or claim verification status
- Public verification records remain publicly accessible indefinitely as described in Section 5.3
- All provisions that should survive termination (disclaimers, limitations of liability, indemnification, governing law, jurisdiction, etc.) remain in effect
14. Governing Law & Jurisdiction
14.1 Governing Law: This Agreement and all matters arising out of or relating to your use of the Platform shall be governed exclusively by the laws of the Republic of The Gambia, without regard to its conflict of law principles.
14.2 Jurisdiction: Any legal action, suit, or proceeding arising out of or relating to this Agreement or the Platform shall be instituted exclusively in the courts of The Gambia. You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection based on forum non conveniens or lack of personal jurisdiction.
14.3 Injunctive Relief: Notwithstanding the foregoing, Sinioo may seek injunctive or equitable relief (including temporary restraining orders, preliminary injunctions) in any court of competent jurisdiction to protect its intellectual property rights, trade secrets, or prevent irreparable harm.
14.4 International Users: The Platform is controlled and operated from The Gambia. Sinioo makes no representation that the Platform is compliant with or appropriate for use in jurisdictions where local laws may conflict with Gambian law. You are responsible for ensuring compliance with all applicable local laws, including export control regulations, data protection laws, and consumer protection statutes.
15. Force Majeure
Sinioo shall not be liable for any failure or delay in performance under this Agreement to the extent caused by circumstances beyond its reasonable control, including but not limited to: acts of God, war, terrorism, civil unrest, government actions, embargoes, embargoes, natural disasters, pandemics, epidemics, labor disputes, utility or telecommunications failures, cyber attacks, or similar events. Sinioo's obligations will be suspended during such events, and Sinioo will use reasonable efforts to resume performance as soon as practicable.
16. Dispute Resolution (International Platform Users)
16.1 Informal Resolution
Before instituting formal legal proceedings, you agree to attempt in good faith to resolve any dispute with Sinioo through direct negotiation. You must first contact Sinioo at hello@sinioo.com with a written description of the dispute and your proposed resolution. Sinioo will respond within thirty (30) days.
16.2 Binding Arbitration (Optional — to be confirmed by user preference)
If negotiation fails, except where prohibited by applicable law, you and Sinioo agree to resolve any remaining disputes through binding arbitration administered by a recognized arbitration institution (e.g., International Chamber of Commerce — ICC, London Court of International Arbitration — LCIA) under its rules then in effect. Arbitration will be conducted by a single arbitrator, in English, in The Gambia, unless the parties agree otherwise. The arbitrator's decision shall be final and binding, and may be entered as a judgment in any court of competent jurisdiction.
NOTICE: ARBITRATION IS WAIVER OF THE RIGHT TO SUE IN COURT AND TO A JURY TRIAL. However, this arbitration clause does not apply to actions for injunctive relief to protect intellectual property rights, which may be brought in court.
16.3 Class Action Waiver
ALL DISPUTES MUST BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE PROCEEDING. ANY CLAIM OR CAUSE OF ACTION YOU MAY HAVE MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
16.4 Governing Language
All proceedings, notices, and communications shall be in English. The English language version of this Agreement governs.
17. Changes to These Terms
Sinioo reserves the right to modify these Terms at any time at its sole discretion. Changes will be effective upon posting or as specified in the notice.
Material Changes: For material changes (e.g., changes to fees, liability disclaimers, user obligations, governing law, or dispute resolution), we will provide at least thirty (30) days' notice to registered users via email and/or a prominent notice on the Platform (e.g., banner notification) before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree with the changes, you must immediately discontinue use of the Platform.
Non-Material Changes: For non-material changes (e.g., corrections, contact updates, formatting changes, service provider updates), we may update the Terms without prior notice. Continued use constitutes acceptance.

18. Contact & Legal Notices
All legal notices, demands, or communications required or permitted under this Agreement must be in writing and delivered as follows:
- To Sinioo: Via email to hello@sinioo.com with the subject line "Legal Notice." Notices are deemed received upon sending (for email) or three (3) business days after mailing (for postal mail).
- To You: Via email to the email address associated with your Account or by posting on the Platform. Notices posted on the Platform are deemed received within twenty-four (24) hours of posting.

19. Severability & Waiver
19.1 Severability
If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be reformed or construed to the extent possible to reflect the original intent of the parties and to the extent necessary to render it enforceable.
19.2 Waiver
No failure or delay by Sinioo in exercising any right, power, or remedy under this Agreement shall operate as a waiver of that right. No single or partial exercise of any such right shall preclude further exercise of that right or any other right. Any waiver must be in writing and signed by an authorized representative of Sinioo.
20. Entire Agreement & Miscellaneous
20.1 Entire Agreement
These Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and Sinioo regarding your use of the Platform, and supersede all prior or contemporaneous oral or written agreements, communications, understandings, proposals, or representations, whether formal or informal, relating to the Platform.
20.2 No Assignment
You may not assign, transfer, or delegate this Agreement or any of your rights or obligations hereunder without Sinioo's prior written consent. Sinioo may assign this Agreement in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets, upon notice to you.
20.3 Relationship of Parties
The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, fiduciary, or employment relationship between you and Sinioo. Neither party has authority to bind the other.
20.4 No Third-Party Beneficiaries
This Agreement is solely for the benefit of you and Sinioo and is not intended to confer any rights or remedies upon any other person or entity.
20.5 English Language Control
This Agreement is executed in the English language. Any translation is provided for convenience only. In the event of any discrepancy between the English version and any translated version, the English version shall govern and prevail.
20.6 Survival
The following provisions shall survive termination of this Agreement: Sections 7 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 11 (Governing Law & Jurisdiction), 12 (Force Majeure), 13 (Dispute Resolution), 14 (Changes to Terms), 15 (Contact & Legal Notices), 16 (Severability & Waiver), and 17 (Entire Agreement & Miscellaneous).
